Welcome to CallBae ("Platform," "Service," "we," "us," or "our"), operated by Anton Santaniello Holdings LLC (DBA La Napa), located at 656 Nostrand Ave, Brooklyn, NY 11216. CallBae is available at callbae.com.
These Terms of Service ("Terms") are a legally binding agreement between you ("you," "your," or "User") and Anton Santaniello Holdings LLC. By creating an account, purchasing a subscription or tokens, or using the Platform in any way, you agree to these Terms in full. If you don't agree, don't use CallBae.
Please read Section 15 (Dispute Resolution & Arbitration) carefully. It contains a binding arbitration clause and class action waiver that affect your legal rights.
CallBae is a digital entertainment platform that lets you chat with, call, and receive AI-generated images from AI-powered personas. Our current personas include Mia, Valentina, Yuki, Serena, Sofia, Raven, Jasmine, and Sarah — all entirely fictional characters powered by artificial intelligence.
CallBae is designed for entertainment and companionship simulation. It is not a dating service, a mental health tool, a substitute for human relationships, or a platform for connecting with real people.
You must be at least 18 years old to use CallBae. No exceptions.
By creating an account, you represent and warrant that:
We reserve the right to verify your age at any time. If we discover or reasonably believe you are under 18, we will immediately terminate your account and delete your data without refund.
Every persona on CallBae is artificial intelligence. You are not talking to a real person.

You acknowledge and agree that your interactions on CallBae are entirely with artificial intelligence and that no real romantic, personal, or professional relationship exists or is being formed.
To use CallBae, you must create an account with a valid email address and password. You agree to provide accurate information and keep your login credentials secure.
You may only maintain one account. We reserve the right to merge or terminate duplicate accounts.
You are responsible for all activity on your account. If you believe your account has been compromised, contact us immediately at [email protected]. We are not liable for losses resulting from unauthorized use of your account that you failed to report promptly.

Token costs may change. We will notify active users of any changes at least 14 days in advance.
Unused tokens remain in your account as long as your account is active. If your account is terminated (by you or by us), unused tokens are forfeited. See Section 8 for refund eligibility on unused tokens.
All payments are processed securely through Stripe. We do not store your full credit card number on our servers.
Charges on your bank or credit card statement will appear as "CALLBAE DIGITAL" or "digital entertainment subscription service."

If you are a first-time subscriber and are not satisfied, you may request a full refund within 7 days of your initial subscription purchase. To request a refund:
This 7-day refund window applies only to your first subscription purchase. Subsequent renewals and re-subscriptions are not eligible.
You can cancel your subscription at any time:
Cancellation is effective at the end of your current billing cycle. You retain access to paid features until then. After cancellation, your account reverts to the Free plan.
We do not provide pro-rated refunds for partial billing periods, except as required by applicable law.

We enforce these rules at our sole discretion and are not required to provide advance notice.
"Your Content" means any text, prompts, or inputs you provide to the Platform. You retain ownership of your inputs but grant us a worldwide, non-exclusive, royalty-free, sublicensable license to use, process, and store your inputs for the purpose of operating the Service and as described in Section 12.
Content generated by CallBae (chat responses, images, voice audio) is "AI-Generated Content."
The CallBae name, logo, persona names, persona likenesses, website design, and all other proprietary materials are owned by Anton Santaniello Holdings LLC and protected by applicable intellectual property laws. You may not use our branding without written permission.
Voice calls on CallBae connect you to an AI-generated voice. There is no human on the other end of the call. The voice is synthesized using AI voice generation technology.
By initiating or receiving a voice call on CallBae, you consent to the recording, storage, and processing of the call audio. This includes:
This consent applies regardless of your location, including in jurisdictions that require all-party (two-party) consent for call recording (such as California, Florida, Illinois, Pennsylvania, Washington, and others).

We may use your interactions with CallBae — including chat messages, voice inputs, and usage patterns — to:
You have the right to opt out of having your data used for AI model improvement and training.

Opting out does not affect your ability to use the Service. Data necessary for delivering the Service in real-time (e.g., processing your current chat message to generate a response) is still processed regardless of your opt-out preference.
When data is used for AI improvement, we take commercially reasonable steps to remove personally identifiable information before it enters training pipelines.

If we terminate your account for your violation of these Terms, you are not entitled to a refund of any subscription fees or tokens.
If we terminate your account without cause, we will provide a pro-rated refund of your current subscription period and refund any unused, recently purchased tokens (purchased within 30 days).
We reserve the right to modify or discontinue CallBae (temporarily or permanently) with 30 days' notice. If we permanently shut down, we will provide pro-rated subscription refunds for the remaining period.
Sections 10 (Content Ownership), 13 (Disclaimers), 15 (Arbitration), and 16 (Governing Law) survive termination.
Before filing any formal claim, you agree to contact us at [email protected] and attempt to resolve the dispute informally for at least 30 days. Most issues can be resolved without lawyers.
If we can't resolve the dispute informally, you and CallBae agree to resolve any claims through final and binding individual arbitration, rather than in court, except as noted below.
Arbitration will be administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. The arbitration will take place in Kings County (Brooklyn), New York, or remotely by video/phone if you prefer.
YOU AND CALLBAE AGREE THAT EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR INDIVIDUAL CAPACITY, NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.
If this waiver is found unenforceable, the entire arbitration section is void and the dispute will proceed in court (Section 16).

These Terms are governed by the laws of the State of New York, without regard to conflict of law principles. If arbitration does not apply (or you've opted out), any legal action must be filed in the state or federal courts located in Kings County, New York, and you consent to personal jurisdiction there.
We may update these Terms from time to time. When we do:
Minor, non-material changes (like fixing typos or clarifying language) may take effect immediately.
These Terms, together with our Privacy Policy and any supplemental terms presented at purchase, constitute the entire agreement between you and CallBae regarding the Service.
If any provision of these Terms is found invalid or unenforceable, the remaining provisions remain in full force and effect.
Our failure to enforce any right or provision of these Terms does not waive that right or provision.
You may not assign or transfer your rights under these Terms. We may assign our rights to an affiliate or successor entity without your consent.
We are not liable for delays or failures caused by events beyond our reasonable control (natural disasters, wars, pandemics, internet outages, government actions, etc.).
By using CallBae, you consent to receive communications from us electronically (email, in-app notifications). These electronic communications satisfy any legal requirement that communications be in writing.
